1. About Us

Bright Solutions and Co provides

  • Property introduction services
  • Private tuition services
  • Home maintenance services

The Company operates strictly as a limited liability entity. No director, officer, or employee shall have personal liability for services provided by the Company.


SECTION A – PROPERTY INTRODUCTION SERVICES

2. Nature of Service (Introducer Only)

The Company acts solely as an independent introducer.

We introduce:

  • Buyers to sellers
  • Landlords to tenants
  • Investors to developers

The Company is not:

  • An estate agent
  • A letting agent
  • A property broker
  • A financial or investment adviser
  • A legal representative

We do not:

  • Negotiate terms
  • Handle offers
  • Conduct valuations
  • Provide legal, tax, mortgage, or investment advice
  • Hold or handle client money
  • Represent either party

Our role is strictly limited to making introductions.

If activities go beyond introductions, this may fall within the scope of the Estate Agents Act 1979.


3. Fees

The Company may charge:

  • A flat introduction fee; and/or
  • A success fee payable upon exchange, completion, tenancy agreement, or any binding transaction between introduced parties

Fees are payable for the introduction service only.

Unless agreed otherwise in writing:

  • Fees are non-refundable
  • Success fees become immediately due once introduced parties transact

The Company reserves the right to recover unpaid fees through legal action if necessary.


4. Non-Circumvention & Protection Period

Where the Company introduces a party, the client agrees:

  • Not to circumvent the Company
  • Not to avoid payment by transacting directly or indirectly
  • Not to structure the transaction through third parties to avoid fees

If a transaction occurs within 24 months of introduction, the agreed success fee remains payable.


5. No Advice & Due Diligence

All information is supplied by third parties.

The Company makes no warranties regarding:

  • Accuracy
  • Property value
  • Investment returns
  • Legal title
  • Planning status

Clients must obtain independent legal and financial advice before proceeding.


SECTION B – TUITION SERVICES

6. Tuition Terms

The Company provides private educational support only.

We do not guarantee:

  • Examination results
  • Specific grades
  • Academic progression

Fees are payable in advance unless agreed otherwise.

Missed sessions may be chargeable unless cancelled with at least 24 hours’ notice.


SECTION C – HOME MAINTENANCE SERVICES

7. Home Maintenance Terms

Services are carried out with reasonable care and skill.

The Company is not liable for:

  • Pre-existing or hidden defects
  • Structural faults
  • Issues caused by prior workmanship
  • Undisclosed conditions

Specialist regulated work will only be undertaken by appropriately qualified professionals where required.


GENERAL TERMS

8. Limitation of Liability

To the fullest extent permitted by law:

  • The Company’s total liability shall not exceed the total amount paid for the relevant service.
  • The Company shall not be liable for indirect, consequential, or investment losses.

Nothing excludes liability for death or personal injury caused by negligence or liability that cannot be excluded under law.


9. Data Protection

The Company processes personal data in accordance with UK data protection law. A Privacy Policy is available separately.


10. Governing Law

These Terms are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction.
